Confidentiality & Non-Disclosure Agreement

This Confidentiality & Non-Disclosure Agreement is entered into between Cuevanomics (“Recipient”) and the property owner or authorized party submitting materials (“Discloser”), effective as of the date of submission.

1. Confidential Information. “Confidential Information” means all materials the Discloser submits for the purpose of a property valuation or offer, including without limitation profit & loss statements, rent rolls, capital-expenditure records, debt terms, lease abstracts, CAM/NNN information, and the property address.

2. Sole Purpose. Recipient shall use the Confidential Information solely to prepare the requested valuation and/or offer for the Discloser.

3. Non-Disclosure. Recipient shall not disclose, share, sell, or disseminate the Confidential Information to any third party without the Discloser’s prior written permission.

4. Reasonable Care. Recipient will protect the Confidential Information with reasonable care and limit access to those assisting in the valuation.

5. Copy. The Discloser will receive a copy of this agreement upon submission.

6. Survival. These obligations survive completion of the valuation.
